Job Grade: Officer Level

Minimum Qualification Required:

• Master of Laws (LLM)
• At least 2 years experience in related industry with thorough understanding of mergers & acquisitions, private placement, fund raising, regulatory compliance, and related areas.

Candidate should have:

• Knowledge of related regulatory and statutory related regulation.
• Ensure compliance with Companies Act, regulatory bodies and other laws.
• Draft, review, and negotiate legal documents related to capital market transactions, including IPOs and others.
• Advise on listing rules, disclosure requirements, and corporate governance for companies.
• Ensure compliance with stock exchange regulations, and other financial regulatory bodies.
• Monitor and interpret changes in securities laws, financial regulations, and market practices.
• Develop and implement compliance policies to mitigate legal risks in capital market operations.
• Liaise with regulatory authorities (e.g. stock exchanges, central banks) on filings, approvals, and investigations.
• Advise the board and senior management on corporate governance best practices.
• Review and negotiate contracts with investment banks, brokers, custodians, and other capital market intermediaries.
• Conduct legal due diligence for fundraising, joint ventures, and other financial transactions.
• Manage shareholder agreements, board resolutions, and statutory filings.
• Handle legal disputes, arbitration, and litigation related to capital market activities.
• Coordinate with external counsel on enforcement actions, regulatory penalties, or investor claims.
• Age not exceeding 32 years.
• Perform other roles & responsibilities as required by the department/management and CEO
